By accessing or using Ordiva ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Ordiva is a workflow orchestration and compliance tracking platform. The Service enables organizations to:
Ordiva operates in two distinct evidence modes, which constitute part of your organizational identity:
In this mode, Ordiva does not store your documents. You provide references to documents and attest to their existence and contents. You are solely responsible for maintaining custody of all referenced documents. Ordiva records attestations and audit trails only.
In this mode, Ordiva acts as a legal custodian of your documents. This mode requires a separate agreement (Document Custody Agreement) and is subject to additional terms regarding storage, retention, and legal holds.
Evidence mode is selected during organization registration and becomes part of your organizational identity. Mode transitions require formal request, review, and contract modification. Such transitions are not guaranteed and are subject to Ordiva's approval.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Ordiva of any unauthorized use of your account.
You agree not to use the Service to:
You retain all ownership rights to the data you submit to the Service. Ordiva does not claim ownership of your data and will not use your data for any purpose other than providing the Service to you.
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
Paid features of the Service require a subscription. Subscription fees are billed in advance on a monthly or annual basis. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.
Ordiva strives to maintain 99.9% uptime but does not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice when possible.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDIVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ORDIVA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
You agree to indemnify and hold harmless Ordiva and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service or violation of these Terms.
Either party may terminate this agreement at any time. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.
We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
